Terms and Conditions
By using the ecards4christmas.com site you are agreeing to the following terms which apply:
1. Definitions
"Site" means the website ecards4christmas.com and/or ecards4christmas.co.uk
"Customer" means any person purchasing a product or service from the Site
"ECard" means the electronic greetings card available on the Site, including downloadable versions thereof
"Materials" means all photographs, graphics, images, illustrations, sound clips, animations and text on the Site, including the ECards
"The Company" means Budget Promotional Products trading as ecards4christmas.com
"You" means any person visiting or browsing the Site
"Agreement" means this document
"Period" means the period of time for which the Ecard is available to view
2. Licence
Subject to the payment of the invoice to Budget Promotional Products, the Company grants you the limited, non-exclusive, revocable permission, subject to the restrictions in this agreement, to share access to the Ecard via email distribution.
The Ecard is for this sole purpose and the rights are non-assignable to a third party.
The Customer shall not in any way modify, alter, amend or adapt the Ecard or permit the Ecard to be altered, amended, adapted or modified in any way other than shown on ecards4christmas.com.
The Customer shall not use the Ecard in anything other than its original form save that the Customer may add text to the covering email.
3. Supply
The Ecards are available for worldwide use, expressly for the time Period shown on the Artwork & Pricing section of the Site.
If, at any time during the Period, the Ecard has not been used or used to the full extent purchased by the Customer, then no reimbursement of payment is applicable.
Delivery of the Ecard is not made via email. However an email will be sent with a link to the Ecard purchased which will be available to view on the Site following payment of the invoice and upon creation of the Ecard.
4. Use of the Site and Materials
You acknowledge that the content of the Site, the Materials and any software or other technology used in connection with the Site may be protected by copyright and/or other intellectual property rights which are owned by the Company or other third parties. Except for the limited licence granted above nothing contained in these terms and conditions shall be construed as conferring in any manner whether expressly, by implication or otherwise, any licence, title or ownership of or to any such copyright or other intellectual property rights other than that stated in the licence above.
You agree that you will not sell, resell, copy, transfer, reverse engineer, disassemble, decompile, create derivative works of, or allow third-party access to the Ecards or Site.
You agree to use the Site for lawful purposes and will not use, post, transmit, or introduce any device, software, or routine which interferes or attempts to interfere with the operation of the Ecards or Site.
You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site.
You will not use the Site in a manner which restricts or inhibits the use and enjoyment of the Site by any third party. Without prejudice to the generality of the foregoing, you agree not to use the Site: to email or otherwise transmit any material that contains software viruses or any other malicious computer code; to email or otherwise transmit any message that is knowingly false, defamatory, inaccurate, abusive, extremist, hateful, harmful, harassing, obscene, profane, sexually orientated, racially offensive, threatening, invasive of a person's privacy or otherwise in violation of the law; to conceal the identity of the sender or to impersonate other people; or to send spam or unsolicited commercial messages.
You are responsible for all content and material that you upload, transmit or email via the Site. You agree not to infringe or violate another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity).
You agree not to use any copyright material which is not your own without the express permission of the copyright owner, unless such copyright is owned by you.
5. Indemnity
You agree to indemnify the Company, its employees, agents and representatives and hold them harmless from and against all claims, liability, losses, damages and expenses including without limitation, legal fees and costs arising out of or incurred as a result of any claims made or litigation brought against the Company, its employees, agents or representatives as a result of any content you email or transmit through the Site, your breach of these terms and conditions or your infringement of the rights of any third party.
The Company is not liable for any loss (including without prejudice to the generality of foregoing any consequential loss or loss of profits) incurred by the Customer if supply of the Ecard is not made.
6. Warranties
The Company is the exclusive licensee of the Ecard and entitled to enter into this licence;
to the best of its knowledge and belief the Ecard does not infringe the copyright or any other right of any other person; to the best of its knowledge and belief the Ecard does not contain obscene material.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and the parties submit to the jurisdiction of the English Courts.
Privacy Policy
